These terms apply to services provided by Kai Yan Chau, trading as Karen Chau, a sole trader established in the United Kingdom.

Nature of services

Services relate to brand and marketing strategy, positioning, messaging, and fractional brand leadership for founder-led businesses, primarily in FemTech, digital mental health, and healthtech categories. Services do not constitute legal, regulatory, financial, or investment advice.

Engagement basis

Clients engage services on a business-to-business basis. These terms are not intended for and do not apply to consumers, so statutory consumer protections such as the Consumer Rights Act 2015 do not apply to this relationship.

Scope and proposals

Each engagement is scoped and confirmed in a written proposal, including deliverables, timing and cost. The engagement begins once both parties sign the proposal or service agreement. Any changes to scope are agreed in writing before proceeding.

Fees and payment

Fees are as set out in the agreed proposal. A deposit of 25 percent is due before work begins. For projects expected to run longer than four weeks, milestone invoices may be issued during the engagement. Any remaining balance is invoiced on completion, due within 30 days. Late payment may incur interest under the Late Payment of Commercial Debts Act 1998.

Client responsibilities

Clients are responsible for providing accurate information, timely feedback and any materials needed to complete the engagement, and for obtaining their own legal or regulatory advice where needed. If a project is unreasonably delayed by the client, the service provider may terminate the engagement and fees for work already completed remain payable.

No guaranteed outcomes

Brand and marketing work is a central contributor to commercial results. Outcomes such as revenue, growth, funding and market fit are shaped interdependently by product, evidence, market context, timing, execution and brand and marketing, so no single project can guarantee overall business results.

Confidentiality

Information shared before and during an engagement is treated as confidential. Non disclosure agreements can be used where needed, and a draft can be provided for clients who do not already have one.

Intellectual property

Materials and deliverables created under the engagement remain the intellectual property of Kai Yan Chau. On full payment, the client receives a worldwide, ongoing licence to use them for its own business. This licence does not cover reselling, sublicensing or redistributing the materials to third parties without written consent.

Limitation of liability

The service provider's liability is limited to the total fees paid or payable for the specific engagement giving rise to a claim, except where liability cannot be limited by law, such as liability for death, personal injury, or fraud.

Termination

Either party may terminate an ongoing engagement with 2 weeks written notice. Fees for work completed up to termination remain payable.

Governing law

These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
